Introduction and Acceptance

Welcome to Vyve. These Terms of Service ("Terms") govern your access to and use of vyve's relationship intelligence platform, including our mobile and web applications, relationship mapping tools, interaction tracking features, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

Vyve is designed to help you understand and manage your professional and social relationships by tracking interactions, visualizing relationship patterns, and identifying energy flows. Our Services are intended for mapping work colleagues, collaborators, friends, community connections, and professional networks. We intentionally do not focus on romantic relationships or deep family dynamics.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website with a new effective date or by sending you an email notification. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

Eligibility and Account Registration

To use Vyve's Services, you must be at least 18 years of age and have the legal capacity to enter into binding contracts. By creating an account, you represent and warrant that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Vyve of any unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, present a security risk.

Description of Services

Vyve provides a digital platform designed to connect users with specialized services and resources. Our Services include access to our web-based application, mobile applications (where available), and related features and functionalities as described on our website.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

User Responsibilities and Conduct

As a user of Vyve's Services, you agree to use the Services only for lawful purposes and in accordance with these Terms. You specifically agree not to use the Services to upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

Appropriate Use of Relationship Data: You agree to use Vyve's relationship mapping and tracking features responsibly and ethically. You may not use the Services to stalk, harass, or harm others. You may not use the Services to collect information about others without their knowledge for purposes that violate their privacy or applicable laws.

Intended Use Scope: Vyve is designed for professional, social, and support networks, including colleagues, collaborators, bosses, friends, and community connections. While you may input any relationships you choose, our Services are intentionally optimized for these types of connections rather than romantic relationships or complex family dynamics.

Not a Substitute for Professional Care: Vyve provides relationship intelligence and pattern recognition tools, but it is not a substitute for professional mental health services, therapy, counseling, or medical advice. Vyve shows you structural patterns and dynamics in your relationships (the "what"), but does not provide therapeutic intervention or explore the underlying psychological reasons (the "why") behind those patterns.

If you are experiencing mental health concerns, burnout, depression, anxiety, or other psychological distress, we strongly encourage you to seek support from qualified mental health professionals. Many users find that vyve complements professional therapy by providing concrete data and insights to discuss with their therapist.

Security Obligations: You may not attempt to gain unauthorized access to any portion of the Services, other user accounts, or any systems or networks connected to the Services. You agree not to use any automated means, including robots, crawlers, or scrapers, to access the Services without our express written permission.

You are solely responsible for maintaining the confidentiality of any relationship information you input into the Services. We recommend using discretion when sharing sensitive information about others.

Waitlist and Access

Certain features of Vyve's Services may be available only through a waitlist or invitation process. By joining our waitlist, you acknowledge that access to the Services is not guaranteed and that we may grant access at our sole discretion.

We reserve the right to determine eligibility criteria for our Services and to limit the number of users who may access the Services at any given time. Placement on the waitlist does not create any contractual obligation for us to provide you with access to the Services.

Intellectual Property Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of vyve or its licensors and are protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include any right to resell or make commercial use of the Services, collect or use product listings or descriptions, make derivative works of the Services, or download or copy account information for the benefit of another party.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Services without our prior written consent.

User Content and Submissions

If our Services allow you to submit, post, or share content ("User Content"), you retain ownership of your User Content. However, by submitting User Content to our Services, you grant vyve a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media.

You represent and warrant that you own or have the necessary rights to your User Content and that your User Content does not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights.

We reserve the right, but are not obligated, to monitor, review, or remove User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

Payment and Fees

If Vyve's Services include paid features or subscriptions, you agree to pay all applicable fees as described on our website or in our application. All fees are non-refundable unless otherwise stated in our refund policy.

We reserve the right to change our fees and billing methods at any time, with reasonable notice provided through our Services or via email. Your continued use of paid Services after fee changes take effect constitutes your acceptance of the new fees.

You are responsible for providing accurate and current payment information. If your payment method fails or your account is past due, we may suspend or terminate your access to paid features of the Services.

Privacy and Data Protection

Your privacy is important to us, and we recognize that the relationship data you share with vyve is highly personal and sensitive. Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

Privacy-First Principles: vyve is built on privacy-first principles. Your relational data is yours, always. We do not sell your data to third parties. We do not share your relationship information with other users or external organizations. We do not train AI models on your personal relationship data.

Data Ownership: You retain full ownership of all relationship data, interaction logs, notes, and other personal information you input into the Services. You may export or delete your data at any time in accordance with our Privacy Policy and applicable data protection laws.

Security Measures: We implement reasonable technical, administrative, and physical security measures to protect your personal information from unauthorized access, use, or disclosure. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security. You acknowledge that you provide your personal information at your own risk.

European and Albanian Data Protection: If you are located in the European Union or Albania, you have certain rights under the General Data Protection Regulation (GDPR) and Albanian data protection laws, including the right to access, correct, delete, or port your personal data. Please refer to our Privacy Policy for detailed information about your rights and how to exercise them.

Third-Party Services and Links

The Services may contain links to third-party websites, applications, or services that are not owned or controlled by vyve. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

You acknowledge and agree that vyve shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services.

Disclaimers and Limitation of Liability

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

To the maximum extent permitted by applicable law, vyve shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your access to or use of or inability to access or use the Services.

In no event shall vyve's total liability to you for all claims arising from or related to the Services exceed the amount you paid to vyve, if any, in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless vyve and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

This indemnification obligation will survive the termination of these Terms and your use of the Services.

Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by following the account deletion process described in our Services or by contacting us directly. Upon termination by you, we will cease providing the Services to you, but certain provisions of these Terms will survive termination.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be resolved through good faith negotiations between the parties. If the parties cannot resolve the dispute through negotiation within thirty (30) days, the dispute shall be resolved through binding arbitration in accordance with the rules of a mutually agreed-upon arbitration service.

You agree that any arbitration shall be conducted on an individual basis and not as a class action. You waive any right to participate in a class action lawsuit or class-wide arbitration against vyve.

The arbitration shall take place in Tirana, Albania, or at another location mutually agreed upon by the parties. The arbitration shall be conducted in English or Albanian, as agreed by the parties.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Albania, without regard to its conflict of law provisions. vyve's principal place of business is located in Tirana, Albania.

For any disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Tirana, Albania.

General Provisions

These Terms constitute the entire agreement between you and vyve regarding the Services and supersede all prior agreements and understandings, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
